Fund structure  The Fund is a wholesale managed investment scheme, structured as an Australian unit trust. It is an open-end fund.  2.2 
Fund objective  Primary Objective: To provide investors with stable risk-adjusted returns, comprising both consistent income distributions and long-term capital appreciation. 

Secondary Objective: To provide investors exposure into renewable and sustainable green energy assets, through acquiring, developing, constructing, and operating a diversified portfolio of utility-scale solar PV and BESS assets within the Australian and New Zealand wholesale energy markets.

Investment strategy  We are raising funds from the issue of Units to invest in a portfolio of Australian renewable energy assets, primarily in the following categories: 

  • Utility-scale (>30 MW) solar, wind, hydro and tidal or any other renewable power generating assets 
  • Standalone BESS (Battery Energy Storage Systems) 
  • Hybrid projects 

Primary geographic focus will be on the Australian and New Zealand wholesale energy markets.

Liquidity Strategy  Partnership with Liquidise.com to provide a dedicated secondary trading platform, facilitating investor-matched liquidity for Wholesale Investors.  2.8 
Comparative Advantages  Captive, Proprietary Pipeline: The Fund is launching with a proprietary portfolio of pipeline assets secured by Bara Energy. 

Integrated Management Team: The Bara Energy team is a fully integrated operation manager and energy trading platform, with in-house AEMO / FCAS trading expertise.

Asset-Backed Income-Focused Unit Classes & Target Returns  Class A (First Ranking Asset-Backed): Target IRR of 7% p.a., with full asset-backed capital protection (last loss tier); 

Class B (Subordinated Asset-Backed): Target IRR of 10% p.a., with strong asset-backed capital protection (second last loss tier);

Absolute Returns-Focused Equity Unit Class & Target Returns  Class C (Preferred Equity): Target returns around 15% p.a., with no asset collateralisation (i.e. first loss tier). 

Target returns are not guaranteed. Actual returns will depend on the performance of the underlying assets. Distributions, where available, will generally be paid quarterly in arrears. 

Redemption  You can redeem your investment by lodging a redemption request with us at least 3 months in advance of the expected redemption date.  2.6 
Liquidity and Secondary Trading Options  The Fund has partnered with Liquidise.com to provide a specialist secondary market platform for Wholesale Investors. See Section 2.8 for full details.  2.8

Risks  All investments involve risks. Some of the key risks are outlined in Section 5.2  5.2 
Annual Management fee  2.0% p.a. of the Total Asset Value (TAV) of the Fund  6.1 
Performance fee (Carried Interest): 

Only applicable on Class C units (Preferred Equity). 

20% of any investment profits upon realisation.  6.2 
Third-Party Fund Administration Expenses:  Any third-party administrative or operational expenses of the Fund, including but not limited to: accounting, audit, legal, insurance, investor-initiated regulatory reporting costs; etc. 

These costs will be capped at the greater of either: A$250k p.a. or 0.6% of Fund assets.

Reporting to investors  Investors will receive: 

  • confirmation of investment; 
  • half-yearly Fund updates; and 
  • annual unit-holder statements
